Legal notice for recovery in Gurugram

A legal notice is a formal demand from an advocate that sets out what the buyer owes, gives a deadline and says what happens next. For Gurugram businesses FundRaksha Legal sends it within 24 hours of complete documents, then negotiates, and if needed files before the Haryana Micro and Small Enterprises Facilitation Council, a commercial court or, for a bounced cheque, the magistrate. No upfront fee; 30% only on what is recovered.

What a recovery notice must contain

  • Your name, business and GSTIN, and the buyer's legal name, GSTIN and registered address
  • Each unpaid invoice with its number, date, amount and due date, and the total outstanding
  • How the goods or services were delivered and accepted: challans, e-way bills, LR copies, acceptance emails
  • The credit terms agreed, and any part payments already received
  • Interest claimed: the contract rate, or for a Udyam-registered micro or small supplier, compound interest at three times the RBI bank rate under Section 16 of the MSMED Act
  • A clear deadline to pay, usually 7 to 15 days
  • What you will do if the buyer does not pay: MSME Samadhaan, a civil or summary suit, or a Section 138 complaint
  • The advocate's signature and enrolment details

How it is delivered

The notice goes by speed post with acknowledgement due to the buyer's registered and business addresses, and on the same day by email and WhatsApp to the people you deal with. Keep the postal receipt, the tracking report, the email record and a screenshot of the WhatsApp delivery ticks. Electronic delivery is increasingly accepted as proof that the buyer knew of the demand, but the postal copy remains the safest proof.

Recovery in Gurugram: local context

Gurugram service and component vendors often face delays from buyers many times their size. Size does not change the law: the 45-day limit and statutory interest apply to large companies too, and a Haryana micro or small supplier's MSME Samadhaan case is heard in Haryana.

Worked example. A Manesar machining unit supplied ₹21,50,000 of parts to a two-wheeler OEM's tier-1 vendor on a 45-day purchase order. The invoice is dated 5 June 2026. With 45-day credit, the payment fell due on 20 July 2026. The notice claims ₹21,50,000 plus interest from 20 July 2026, with a 15-day deadline. If the buyer pays the principal after the notice, our fee is ₹6,45,000 (30%) and you keep ₹15,05,000. A suit for this invoice would have to be filed before about 20 July 2029 unless the buyer acknowledges the debt in writing.

What happens next if the buyer does not pay

MSME Samadhaan (for Udyam-registered micro and small suppliers). A Gurugram supplier's reference is heard by the Haryana Micro and Small Enterprises Facilitation Council, C-3, 1st Block, 3rd Floor, HSVP Office Complex, Sector 6, Panchkula. The Samadhaan portal lists one state council for Haryana, at Panchkula. Under Section 18(4) of the MSMED Act the council where the supplier is located has jurisdiction, even if the buyer is in another state. The council first tries conciliation, then arbitrates; a buyer who wants to challenge the award must first deposit 75% of it (Section 19). Retail and wholesale traders registered on Udyam only for priority sector lending cannot use this route.

Commercial court or summary suit. Commercial disputes of ₹3 lakh or more go to the commercial court at Gurugram. Many Gurugram service contracts have arbitration clauses seated in Delhi or Gurugram; the notice should say which route you will use. Under Order XXXVII of the Code of Civil Procedure, a summary suit on a written contract or a debt can be decided quickly: the buyer must apply for leave to defend within 10 days of being served, and without it the court can pass a decree.

Section 138, if a cheque bounced. A dishonoured cheque gives a separate criminal remedy with strict deadlines. See cheque bounce lawyer in Gurugram.

Documents to share

  • The unpaid invoices and your ledger for the buyer
  • Purchase order, contract or quotation accepted by the buyer
  • Proof of delivery or completion: challans, e-way bills, LR copies, acceptance emails
  • Messages, emails or calls where the buyer promised to pay or admitted the dues
  • Your Udyam registration certificate, if you have one
  • Any cheques given by the buyer, and bank return memos if they bounced

There is no upfront fee. FundRaksha Legal's fee is 30% of the amount actually recovered; if nothing is recovered, there is no success fee. A legal notice goes out within 24 hours of complete documents. Court fees and other statutory charges, if a matter is filed, are paid by you, and you are told what they will be before anything is filed.

Recovery questions from Gurugram

How quickly can a legal notice for recovery be sent in Gurugram?

FundRaksha Legal sends the notice within 24 hours of receiving complete documents: the invoices, proof of delivery or acceptance, and the buyer's details. It goes by speed post with acknowledgement due, email and WhatsApp on the same day.

My buyer is a large listed company. Does the MSME 45-day rule apply?

Yes. Sections 15 and 16 of the MSMED Act apply to every buyer, whatever its size, if you are a Udyam-registered micro or small supplier. A company buyer that pays late must also report the dues in MSME Form I with the Registrar of Companies.

What happens if the buyer ignores the legal notice?

The advocate takes the route that fits your papers: MSME Samadhaan before Haryana Micro and Small Enterprises Facilitation Council if you are a Udyam-registered micro or small enterprise, a commercial or summary suit for a documented debt, or a Section 138 complaint if a cheque has bounced. The notice is the evidence that the buyer was asked and did not pay.

What does it cost?

No upfront fee. The fee is 30% of what is actually recovered. If the buyer pays after the notice, the fee is 30% of that payment and nothing more.
